Capstone Partners has been engaged as the exclusive financial advisor to Powers Interactive Digital, ("Powers Interactive", "Powers", or the "Company") for the solicitation of a qualified buyer ("Buyer") to acquire the Company. The information contained in this Confidential Memorandum ("Memorandum") has been prepared for the sole purpose of providing qualified interested parties with general information to assist in their evaluation of the Company. All inquiries regarding the Company should be directed to Capstone Partners. This Memorandum has been prepared from information, estimates, and assumptions provided by the management of Powers Interactive ("Management") and other sources believed to be reliable.
